Terms of Service
Effective July 29, 2026
1. Agreement and service
These Terms govern access to Here, an AI back-office service operated by Home Care Back Office LLC (“Here,” “we,” or “us”). An agency’s order form, statement of work, business associate agreement, data authorization, and accepted price book are incorporated when applicable. If those documents conflict with these Terms, the signed document controls.
2. Accounts and authorized systems
The agency must provide accurate account information, designate authorized users and approvers, protect its credentials, and give Here only the authority needed for selected outcomes. Connections must use a dedicated named identity, OAuth grant, or approved secure-login handoff. The agency represents that it may authorize Here to access each connected system and the data processed through it.
3. Outcomes, automation, and human authority
Here performs only activated outcome contracts and certified workflow routes. Each contract defines permitted actions, success evidence, exclusions, approvals, stop conditions, and price. Here may use APIs and supervised browser automation. Here does not replace clinical judgment, legal advice, or an agency’s licensed and regulatory duties. Required clinical, financial, compliance, MFA, CAPTCHA, and policy decisions remain with the agency’s authorized people.
4. Fees and evidence
Prices and monthly safeguards are shown before activation. Here bills only outcomes that satisfy the accepted outcome definition and evidence rules. Duplicate, cancelled, disputed, excluded, or unreconciled work is not billable. The agency may dispute an item through the outcome ledger; validated disputes receive reversal or credit treatment under the accepted price book.
5. Data protection
Each party will protect confidential information and follow applicable privacy and security laws. When Here processes protected health information for a covered entity or business associate, live use requires an effective business associate agreement. Here may suspend a connection or workflow when authorization, security, consent, or vendor terms are missing or uncertain.
6. Acceptable use
An agency may not use Here to bypass access controls, impersonate an unauthorized person, submit false records, evade consent, make unsupported clinical decisions, collect card data, redirect funds, or violate law or third-party terms. Agencies may not probe another tenant, interfere with the service, or use output without required professional review.
7. Ownership and feedback
Here owns the service, software, workflow engine, and generalized improvements. The agency retains its data and system-of-record content. Customer-specific preferences stay tenant-isolated. Data is not used for cross-customer model training unless the agency has expressly agreed in writing. Feedback may be used without identifying the agency.
8. Availability and warranties
Here uses commercially reasonable safeguards and operating controls, but third-party systems, communications networks, and AI models may fail or change. Unless a signed agreement says otherwise, the service is provided “as is” and implied warranties are disclaimed to the extent permitted by law. Here does not guarantee a particular revenue, staffing, reimbursement, or regulatory result.
9. Liability
Liability limits, indemnities, insurance obligations, and governing law are stated in the agency’s signed agreement. If no signed agreement applies, neither party is liable for indirect, incidental, special, consequential, or punitive damages to the extent permitted by law, and Here’s aggregate liability will not exceed fees paid for the affected service during the preceding three months.
10. Suspension, termination, and changes
Either party may end service as provided in its signed agreement. Here may immediately pause an unsafe, unauthorized, unpaid, or compromised workflow. On disconnect, Here disables the connection and follows its contractual deletion and retention duties. We may update these Terms prospectively; material changes are presented before continued paid use when required.
